1.2 Virtual Products: Refers to software solutions such as School Management, College Management, Library Management, and others as listed above.
1.3 Client: Refers to individuals, companies, or entities utilizing Earn Spot’s services or products.
1.4 Agreement: Refers to these terms and conditions, along with any associated contracts or agreements between Earn Spot and the Client.

2. Use of Services and Products

2.1 The Client agrees to use Earn Spot’s services and products in accordance with applicable laws and regulations.
2.2 The Client is solely responsible for the accuracy and legality of the data they provide while using our software.
2.3 Unauthorized use of our services or software, including reselling, sharing, or modifying without permission, is prohibited.

3. Payments and Refunds

3.1 All services and products are subject to agreed pricing as outlined in the service agreement or invoice.
3.2 Payments must be made as per the payment schedule agreed upon. Late payments may incur penalties as specified in the agreement.
3.3 Refunds for services or virtual products are not provided unless otherwise specified in a separate agreement.

4. Intellectual Property

4.1 All intellectual property rights related to Earn Spot’s services and products remain the sole property of Earn Spot.
4.2 Clients are granted a limited, non-exclusive license to use the purchased software and services solely for their internal operations.
4.3 Copying, modifying, reverse engineering, or distributing our software without prior written consent is strictly prohibited.

5. Confidentiality

5.1 Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of service or product delivery.
5.2 Confidentiality obligations survive the termination of this agreement.

6. Limitation of Liability

6.1 Earn Spot is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services or software.
6.2 Earn Spot’s total liability for any claim arising under this agreement shall not exceed the amount paid by the Client for the specific service or product.

7. Support and Maintenance

7.1 Earn Spot provides support and maintenance services as outlined in the individual service agreements.
7.2 Additional charges may apply for services or features outside the agreed scope.

8. Termination

8.1 Either party may terminate this agreement upon providing a 30-day written notice.
8.2 Earn Spot reserves the right to terminate the agreement immediately in case of breach of terms by the Client.
8.3 Upon termination, the Client must cease using all services and software provided by Earn Spot.

9. Data Privacy

9.1 Earn Spot complies with applicable data privacy regulations to protect Client data.
9.2 By using our services or software, the Client consents to the collection, use, and storage of data as per Earn Spot’s privacy policy.

10. Governing Law and Dispute Resolution

10.1 These terms and conditions are governed by the laws of India.
10.2 Any disputes shall first be resolved amicably through mutual discussion. If unresolved, disputes will be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time and in force at the time when the proposal is made)..

11. Amendments

11.1 Earn Spot reserves the right to modify these terms and conditions at any time.
11.2 Changes will be effective upon posting on Earn Spot’s official website or notification to the Client.
